ORDER TERMS & CONDITIONS

All orders subject to the approval of Sudenga Industries, Inc. in writing at George, Iowa, USA, or by shipment of goods.  All orders are considered firm contracts.  Shipping dates are only our estimate based upon the time required for production, and we shall not be liable for any claims for delays beyond our control, nor shall we accept cancellations or suspensions unless agreed upon, at the same time protecting us against loss caused by such cancellations or suspensions.

The title and right to possession of the goods covered shall remain with Sudenga Industries, Inc. until complete and final payment therefore shall have been paid to seller in cash, including any interest or other auxiliary charges provided for.  All goods covered by order will be considered as personal property until completely paid for regardless of any mechanical attachment to real estate.

Return Policy

A proof-of-purchase invoice number must accompany all FACTORY APPROVED returned merchandise for credit to be allowed. The following handling and restocking charges will apply:

Within 30 days of invoice date: 10%

30-60 days from invoice date: 20%

61-90 days from invoice date: 30%

91-120 days from invoice date: 40%

Over 120 days from invoice date: No credit

Absolutely no merchandise will be accepted beyond 120 days. No special built equipment may be returned for credit.

SPECIAL ORDER POLICY

A 50% non-refundable deposit is required on any special-order item. Engineering and production will not begin until the deposit is received, and lead-times will be calculated from that date.

Special order is defined as any item not listed on the price sheets, or standard items modified in any way.

All special orders are firm sales and non-cancelable. Credit will not be issued for special order equipment that is re­turned. The standard warranty may not apply to special order equipment.

COMPLIANCE WITH SAFETY, ELECTRICAL AND FIRE CODES

Sudenga Industries, Inc. implies no fitness of purpose or adherence to location or site-specific OSHA, NFPC, national and local electrical standards, fall protection or food grade standards.  Interpretation of and adherence to these standards is the responsibility of the purchaser or installer.  Purchaser or installer shall inform Sudenga Industries, Inc. of any and all applicable standards prior to processing of order. Design and construction of equipment built to any site-specific standards will incur additional fees as applicable. 

Interpretation of any and all local, state, federal or customer specific electrical standards or specifications is the responsibility of the purchaser or installer.  Additional charges will apply for the return or rework of any electrical equipment which does not meet site standards. Providing Sudenga Industries, Inc. with incorrect site electrical specifications or requirements will incur additional return or rework charges. 

Equipment as supplied by Sudenga Industries, Inc. is not intended for use in a hazardous environment. Explosion proof drives, motors and electrical panels can be obtained by consulting the factory. It is the installers responsibility to determine the suitability of this product for the application.

WET STORAGE STAIN POLICY FOR GALVANIZED STEEL

Wet storage stain, also known as white rust, is the voluminous white or gray deposit formed by accelerated corrosion of the zinc coating when newly galvanized steel articles are stored or shipped under damp or poorly ventilated conditions.  Sudenga Industries, Inc. does not manufacture items from galvanized steel that has pre-existing wet storage stain.  We also take necessary steps to store raw and finished galvanized steel under conditions that either prevent the steel from being in prolonged contact with moisture or other elements that may cause corrosion.  Prior to shipment, all finished goods are inspected for degradation of corrosion resistance, and are not shipped if found to be unsuitable.  Any wet storage stains that occur after items leave our dock are beyond our control.  Due to the nature of our products, it is standard in our industry to ship finished goods via open flatbed trailers or ocean containers.  Exposure to rain, snow, road salt, sea water and air as well as other elements is inherent with these modes of transportation.  If other methods of transport are preferred, it is the purchaser’s responsibility to indicate this on a formal purchase order. As with other types of damage, it is the receiver’s responsibility to note any damages found on the Bill of Lading when a shipment is received and make a claim with the transportation company.  Furthermore, it is the receiver’s responsibility to wash down and dry any items that may have come into contact with any degrading elements and store the items in a place or manner that prevents prolonged exposure to moisture until installation.  Due to their nature, most installations allow for natural ventilation of the equipment which allows the galvanized coatings to go through it’s aging process to produce the layer of corrosion protection.

PRICING

Sudenga Industries, Inc. reserves the right to change, without notice, any quoted pricing or applicable extended discounts at any time. All prices are F.C.A. George, Iowa, USA, unless otherwise agreed. Cash terms will not apply for any order not picked up or shipped 30 days after notification of order readiness. Sudenga Industries, Inc. reserves the right to charge additional processing fees to cover any payment(s) made via credit card. Storage fees may apply to any order not shipped or picked up upon notification of order readiness.

WARRANTY

Sudenga Industries, Inc. warrants each new unit against operational failure caused by defective material or faulty workmanship which occurs during normal use and operation within 180 days from date of purchase by user. Our obligation under this warranty consists only of repairing or replacing without charge to the customer, or at our option, allowing credit for any part which has failed during the above stated period as a result of being defective at the time of manufacture.  Sudenga shall not be liable for loss of time, manufacturing costs, labor, material, loss of profits, consequential damages, direct or indirect, because of defective products, whether due to rights arising under the contract of sale or independently thereof, and whether or not such claim is based on contract, tort or warranty.  We reserve the right to require the return of the defective part or parts to verify the claim. All material returned to the factory, including any and all parts shipped with the defective part or parts, must be shipped prepaid. The repaired or replaced part or parts, including any and all parts being returned to the user will be shipped FOB, the factory. Electric motors, gas engines, and hydraulic motors are not covered under this warranty. These are covered under their own specific manufacturer warranty. The warranties here are the only warran­ties made by the manufacturer. No other warranties, expressed or implied, are given on these products.

PRODUCTS MANUFACTURED OR SOLD BY SUDENGA ARE NOT WARRANTED EXPRESSLY OR BY IMPLICATION FOR MERCHANTABILITY OR FITNESS OR FOR ANY MEASURE OF SERVICE OR SUITABILITY OR FOR A SPECIFIC PURPOSE NOTWITHSTANDING ANY DISCLOSURE TO SUDENGA OF THE USE TO WHICH THE PRODUCT IS TO BE PUT.  THIS EXPRESS WARRANTY IS THE SOLE WARRANTY OF SUDENGA.  THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE WARRANTY HEREIN EXPRESSLY SET FORTH.  THE SALE OF PRODUCTS OF SUDENGA UNDER ANY OTHER WARRANTY OR GUARANTEE EXPRESS OR IMPLIED IS NOT AUTHORIZED.

Capacities quoted in catalogs or literature, whether supplied by the manufacturer or any other person or agency, are intended to be informational only. Conditions such as temperature, humidity, type of material, weight and moisture content, and equipment maintenance, will affect equipment performance and horsepower requirements and are beyond the manufacturers control.

The Purchaser shall be solely responsible for determining the adequacy of the product for any and all uses to which the purchaser shall apply it. The application of this product by the purchaser shall not be subject to any implied warranty of fitness for any particular.

SPECIAL PAINT COLORS

Standard equipment paint color varies by product type. Sudenga Industries, Inc. does not guarantee uniformity of paint scheme, nor is it the responsibility of Sudenga Industries, Inc. to ensure uniformity of paint scheme throughout a project or installation.  Sudenga Industries, Inc. is not responsible for additional costs associated with correcting non-uniform paint schemes.  Special paint colors other than standard will incur additional charges. Notify Sudenga prior to ordering to understand additional costs associated with ordering special paint colors.

SHIPPING

Commercial carrier: Several carriers stop daily at our plant. Please specify your delivering carrier when ordering. Sudenga will arrange freight upon request, however, final freight costs are subject to the carrier discretion and no guarantee of final freight cost is implied when utilizing this service. 

UPS: For packages up to 130 inches in length and girth combined. Package weights up to 150 pounds.

Parcel post: For packages up to 108 inches in length and girth combined. Package weights up to 70 pounds.

Air Freight: Sent from Sioux Falls, South Dakota. A charge will be made for delivery to the airport. Shipping coordination and logistics provided as a service. Additional charges may be made for special handling, extra packing, or unusual services. Not responsible for third-party freight rate changes before, during or after shipping
